Definitions

“Tabatwo” means Tabatwo ApS (CVR 45372898), provider of the digital platform, website, and app.

“User” refers to any person using Tabatwo to train, connect socially, or participate in sessions.

“Instructor” refers to a professional partner offering training through the platform under a separate Instructor Collaboration Agreement.

“Session” means any live, booked, or on-demand training activity hosted or joined via Tabatwo.

“Service” means the overall Tabatwo experience, including the app, community features, support, and related digital services.

1. Introduction and Acceptance

Welcome to Tabatwo – a social fitness community designed to make movement more engaging, inclusive, and sustainable. These Terms and Conditions (“Terms”) explain how you, as a user or instructor, may use our platform and how we maintain a safe, positive, and inspiring space together. By using the Tabatwo app, website, or related services (“Service”), you agree to these Terms.

2. Permitted Use

Tabatwo promotes respectful, lawful, and positive use of the platform.

Users engage with Tabatwo for personal wellbeing, social connection, and training activities.

Instructors use Tabatwo to share their expertise, host sessions, and support members of the community.

All users agree to follow applicable laws and maintain good digital conduct, use the Service in ways that foster motivation, cooperation, and wellbeing, and share authentic, safe, and respectful content that contributes positively to the Tabatwo community.

3. Account Registration and Responsibility

To access Tabatwo, you must create an account with accurate and current information. You are responsible for all activity associated with your account. Tabatwo is intended for adults. Users must be at least 18 years old to create an account and use the Service. By creating an account, you confirm that you are 18 years of age or older and legally capable of entering into a binding agreement under Danish law.

Instructors must ensure that their professional details and uploaded content are accurate, safe, and aligned with Tabatwo’s values.

4. Intellectual Property Rights

All software, designs, and platform content belong to Tabatwo ApS and its licensors. Users receive a personal, non-commercial license to use the Service. Instructors retain ownership of their content and grant Tabatwo a non-exclusive license to display and distribute it within the platform, in accordance with the Instructor Collaboration Agreement.

5. Confidentiality

All parties agree to protect confidential information shared through the platform. Business data, training materials, and user details are treated as confidential unless publicly available or required by law.

6. Personal Data and GDPR

Tabatwo complies with the EU General Data Protection Regulation (GDPR) and Danish data protection law. We collect and process only the data necessary to provide and improve the Service. You may access, correct, or request deletion of your data at any time. Please refer to our Privacy Policy for full details.

7. Payments and Instructor Subscriptions

Tabatwo’s payment model is simple and transparent. Users pay per booked session or event. Prices are listed in DKK and include 25% VAT. Instructors pay a fixed monthly subscription (exclusive of VAT) for access and visibility on the platform, as detailed in the Instructor Collaboration Agreement. Payments are processed securely through approved providers such as Stripe.

7A. Cancellation Policy

Cancellations made more than 24 hours before a booked session start time receive a full refund. Cancellations made within 24 hours before the session start time are non-refundable. Refunds are processed automatically to the original payment method. Repeated late cancellations may result in a review of account activity to ensure fairness for all users and instructors.

8. Support, Availability, and Service Quality

Tabatwo aims to provide reliable service with at least 98% uptime per calendar month. Support is available Monday to Friday from 09:00–17:00 CET. We aim to respond within 48 business hours.

9. Platform Updates and Improvements

We continuously update and improve Tabatwo. Significant feature or pricing changes will be announced in advance. Continued use of the Service after notification implies acceptance of the updated Terms.

10. Code of Conduct

Tabatwo is built on kindness, inclusion, and encouragement. All participants agree to interact with honesty and respect, use positive and supportive language, and help create a safe and welcoming community.

11. Termination and Account Management

You may close your account at any time by contacting hello@tabatwo.com. Your account and data will be deleted upon confirmation. Tabatwo may pause or close accounts in cases of unpaid fees, misuse, or legal non-compliance, always following a fair and transparent process.

12. Health and Safety

Tabatwo encourages safe and responsible participation. We are not a medical provider; our content is for motivation and education only. Users are responsible for using the Service safely and ensuring their environment and equipment are suitable. Instructors are responsible for the safety and quality of their own training sessions, as defined in the Instructor Collaboration Agreement.

13. Limitation of Liability

Tabatwo is not liable for indirect or consequential damages, loss of data, or events beyond our control. Our liability is limited to the total amount paid to Tabatwo in the 12 months preceding a claim.

14. Indemnification

You agree to indemnify and hold Tabatwo harmless from any claims arising from your actions, uploaded content, or violation of these Terms or applicable law.

15. Third-Party Services

Tabatwo integrates with trusted third-party services such as Stripe and Firebase. Their own terms and privacy policies apply when using their services.

16. Force Majeure

Neither Tabatwo nor users are liable for delays or failures caused by events beyond reasonable control, including network disruptions, power outages, or natural events.

17. Governing Law and Dispute Resolution

These Terms are governed by Danish law. Parties will first attempt to resolve disputes amicably. If unresolved, the courts of Copenhagen, Denmark, shall have exclusive jurisdiction.

18. Cancellations, Refunds, and Session Quality

18.1 User-Initiated Cancellations

Users may cancel booked sessions as follows:

More than 24 hours before the session start time: Full refund of the session fee.

Within 24 hours of the session start time or after it has started: No refund.

Users will receive refund confirmation via in-app message or email. All refunds are processed through Stripe and may take 5–10 business days, depending on the card issuer and bank.

18.2 Instructor-Initiated Cancellations

If an instructor cancels a confirmed session, the user will automatically receive a full refund. The instructor will not receive payment for the canceled session.

18.3 Refunds After Instructor Payout

If a refund is approved after an instructor has already received payout, Tabatwo may deduct the refunded amount from future payouts or request reimbursement. Instructors expressly authorize Tabatwo to make such deductions automatically.

If disputed, instructors may submit an appeal within 7 days of notification. Tabatwo will review and provide a final decision within 5 business days. Pending resolution, the amount will be held from the next payout.

18.4 Session Quality and Connectivity Issues

Tabatwo provides the technological platform only. Users are responsible for stable internet, compatible devices, and suitable environments. Tabatwo is responsible solely for failures originating from its own infrastructure, including AWS outages, API failures, or documented platform bugs.

Technical issues believed to originate from Tabatwo must be reported within 48 hours via in-app support. If confirmed, Tabatwo may issue a refund or session credit at its discretion. Reports submitted after 48 hours are not eligible for review.

18.5 Goodwill and Discretionary Refunds

Tabatwo may issue refunds or credits for documented goodwill reasons. Such actions do not establish precedent and are evaluated case by case.

18.6 Instructor No-Show

If an instructor fails to start a confirmed session within 5 minutes of the scheduled start time without prior cancellation, the user is entitled to a full refund. The instructor will not receive payment, and repeated no-shows may result in account restriction or termination.

18.7 Time Limitation for Refund Claims

All cancellation and refund requests, except technical issues under section 18.4, must be submitted within seven calendar days of the scheduled session date. Requests received after this period will not be processed.
